These terms govern your access and use of the Smart Duuka operating system, SmartServe POS, and associated services provided by Digi-volve Technologies Limited.

By registering an account, accessing, or using Smart Duuka ("Service"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, you represent that you have the authority to bind such entity.
Smart Duuka is a multi-tenant enterprise operating system offering retail management, point-of-sale (SmartServe), HR, and cash flow tracking modules. The Service is provided "as is" and evolves over time through updates and new feature deployments.
You must provide accurate business information upon registration. You are responsible for safeguarding your credentials. We mandate the use of 2-Factor Authentication (2FA) for administrative accounts to prevent unauthorized access.
The primary account holder ("Tenant Admin") is responsible for all activity occurring under their tenant instance. This includes managing permissions for subordinate staff and ensuring departing employees have their access revoked promptly.
To ensure enterprise-grade auditing, all finalized financial transactions within Smart Duuka are immutable. We do not support the hard-deletion of finalized sales, receipts, or cash flow entries. Errors must be corrected via logged reversing entries or managed through the designated "On Hold" states prior to finalization.
Where applicable, Smart Duuka integrates with the URA EFRIS system. However, the accuracy of the fiscal data transmitted is solely the responsibility of the tenant. Digi-volve Technologies Limited is not liable for tax penalties incurred due to user-entered data errors or stock mismanagement.
Our integration with WhatsApp for digital receipts and alerts is subject to Meta's Business Policies. Tenants must not use this feature for unauthorized marketing spam. Violation of these messaging protocols may result in the suspension of WhatsApp features for your tenant instance.
Access to Smart Duuka is billed on a subscription basis. Failure to pay subscription fees within the designated grace period will result in the suspension of account features, transitioning the system to a read-only state until arrears are cleared.
We strive for 99.9% uptime. However, the Service may be occasionally unavailable for scheduled maintenance or due to circumstances beyond our control (e.g., VPS provider outages, network latency).
You retain all rights and ownership to the business data, customer details, and inventory information you input into the Service. We claim no intellectual property rights over your material.
Our collection and processing of your data are governed strictly by our Privacy Policy. By agreeing to these Terms, you also acknowledge and consent to our data handling practices.
We utilize automated, high-frequency rotations, syncing databases to Backblaze B2 cloud storage to prevent data loss. While we maintain these robust safety measures, tenants are encouraged to export their own periodic reports.
You agree not to use the Service for any unlawful activities, including the facilitation of illegal sales, money laundering, or attempting to breach our Nginx security configurations and reverse-engineer the platform's codebase.
The codebase, UI/UX design, custom scrollbars, architecture, and branding of Smart Duuka and SmartServe POS remain the exclusive intellectual property of Digi-volve Technologies Limited.
The Service may require specific hardware (e.g., receipt printers, barcode scanners) or link to third-party services. We are not responsible for the malfunction or terms of service of third-party hardware or external websites.
To the maximum extent permitted by law, Digi-volve Technologies Limited shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business interruptions arising from the use of the Service.
You agree to indemnify and hold harmless Digi-volve Technologies Limited and its developers from any claims, damages, or legal fees resulting from your violation of these Terms or misuse of the platform.
We reserve the right to suspend or terminate your tenant account immediately, without prior notice, if you breach these terms, fail to meet billing obligations, or engage in activities that threaten the security of the multi-tenant environment.
We may update these Terms from time to time. We will notify active tenants of significant changes via the system dashboard or registered email. Continued use of the Service after changes constitute acceptance.
These terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in Uganda.
